1. About these terms and who we are

This website at peptidecake.com and its localised versions (the "site") is operated by the business being established as Peptide Cake Co., Ltd. (Korean: 주식회사 펩타이드 케이크) — referred to here as "Peptide Cake", "we", "us", or "our". We are a stock company (주식회사) being incorporated under the laws of the Republic of Korea, with its intended registered office in Seoul, Republic of Korea. Until incorporation completes, the site is operated by the promoter(s) establishing Peptide Cake Co., Ltd., who enter into and may enforce these Terms on their own behalf and for the benefit of the company to be formed, and who are responsible for the operation of the site before incorporation. After incorporation, Peptide Cake Co., Ltd. may, by corporate action, accept assignment of and assume operation of the site and these Terms on a prospective basis, as contemplated by the assignment clause in Section 12. No shareholder is personally liable for these Terms solely by reason of holding shares, and any assumption, novation, or release of obligations takes effect only to the extent valid under applicable law. Full company-registration details (business registration number, registered office address, and representative director) will be published on this page upon incorporation. Until then, formal notices and correspondence may be sent to legal@peptidecake.com, which is monitored and actioned on the business's behalf.

These Terms of Use (the "Terms") govern your access to and use of the site. By accessing or using the site, you ("you" or "your") agree to these Terms. If you do not agree, do not use the site.

The site is a business-to-business marketing and partnership site. It provides general information about the Peptide Cake brand and invites partnership enquiries. The site is not an online shop. It does not sell products, take payment, process orders, or form any contract of sale, and nothing on it is an offer to sell. Consumer sales of Peptide Cake products, where available, occur separately and in-market through independent local partners under their own separate terms; we are not a party to, and are not responsible for, those sales.

Your privacy is addressed in our Privacy Policy, which is incorporated into and forms part of these Terms.

2. Eligibility and intended use

The site is intended for business and professional audiences and is not directed to children (see our Privacy Policy regarding children's data). By using the site you represent that you have the legal capacity to agree to these Terms and, if you submit an enquiry on behalf of an organisation, that you are authorised to do so.

3. The enquiry form; submissions

The site offers a single partner-enquiry / contact form. By submitting it you confirm that you have read and agree to these Terms and our Privacy Policy, and that:

• the information you provide is true, accurate, and your own to submit, and you are not submitting another person's data without their authority; and
• you will not use the form to send spam, false information, or unlawful, abusive, or infringing content.

You grant us a limited, non-exclusive, royalty-free right to use the information you submit solely to receive, evaluate, and respond to your enquiry and to keep related business records, in each case as described in, and subject to, our Privacy Policy. Personal data is processed only as the Privacy Policy and applicable law provide; nothing in this Section authorises any use of personal data beyond that.

Enquiries are not confidential. Submitting one creates no obligation on us to respond to it, to retain or act on it beyond what the Privacy Policy and applicable law require, or to enter into any discussion, relationship, or agreement with you. We may decline, ignore, or discard any enquiry at our sole discretion. "Not confidential" means we owe you no duty of secrecy or non-use of the enquiry's contents beyond what data-protection law and our Privacy Policy require; your personal data is still protected as described in the Privacy Policy. Do not send us confidential, proprietary, or sensitive information through the form.

If you contact us by email instead of, or in addition to, the form — including via any email link or fallback we provide — your message reaches our mailbox directly. How submissions and email contact are handled is described in our Privacy Policy.

4. Acceptable use

You agree not to:

• use the site for any unlawful, fraudulent, or harmful purpose, or in breach of these Terms;
• scrape, harvest, crawl, index, or otherwise collect data from the site by automated means, except by well-behaved search-engine crawlers operating in accordance with our robots directives;
• attempt to gain unauthorised access to, probe, breach, circumvent, or test the vulnerability of the site or its systems, or disrupt, overload, or impair the site or any associated network or infrastructure;
• introduce any malware, virus, or other harmful code;
• infringe, misappropriate, or violate our or any third party's intellectual property, privacy, or other rights;
• submit false, misleading, or impersonating information, or another person's personal data without authority;
• misuse the enquiry form, including for spam, mass submissions, or abuse; or
• reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code or underlying structure of the site, except to the extent this restriction is prohibited by applicable law.

We may suspend, restrict, or terminate your access to the site at any time, without notice, if we reasonably believe you have breached these Terms or to protect the site, other users, or any third party.

5. Intellectual property

The site and all of its content — including text, graphics, layout, design, images, photographs, product descriptions, flavor line-ups, and source code — are owned by us or our licensors and are protected by intellectual property laws. "Peptide Cake", the Peptide Cake logo, our flavor names, and related marks are trademarks of Peptide Cake; trademark applications are pending in relevant jurisdictions; all rights reserved.

No licence or right is granted to you in respect of the site or any of our intellectual property, except that you may view and access the site for your own internal, lawful purposes, including to evaluate the brand and submit a partnership enquiry. You may not copy, reproduce, distribute, publish, modify, frame, create derivative works from, or commercially exploit (for example, by reselling, redistributing, or systematically copying) any part of the site, or use any of our marks, without our prior written permission.

6. Product and content information; no advice

All content on the site is provided for general brand information only and may be incomplete, out of date, or subject to change without notice.

• Product descriptions, nutritional and dietary positioning, claims, imagery, flavor line-ups, partner details, and statements about market availability are illustrative, are subject to change, and may differ by market.
• Any nutritional figures, serving sizes, calorie or protein values, dietary-suitability indicators, and country-of-origin statements shown anywhere on the site — including specific figures such as protein-per-serving and calorie counts, any "high protein", "low calorie", or dietary-suitability (for example, lacto-vegetarian) descriptors, and any such data embedded in page metadata, structured data, or social-share previews — are general brand indications only. They are indicative, may be rounded, may reflect a representative formulation, and may differ by market and production batch. Terms such as "high protein" and "low calorie" are used as general brand descriptors and are not nutrient-content, nutrition, or health claims within the meaning of any market's food-labelling law; whether such a claim may lawfully be made for a product in a given market is determined by the independent local partner against the registered product label, and the legally controlling values for any market are those on that registered label.
• Brand, corporate, founding, and market-coverage information shown anywhere on the site — including in structured data (for example, organisation details and "areaServed" or similar region lists) and social-share previews — is general and indicative only. It does not represent that the company is incorporated, or that any product is available, registered, approved, or lawfully marketed, in any listed country; availability and regulatory status are determined per market by the independent local partner.
• The Peptide Cake name and brand language are used for brand identity only. Our products are conventional foods; they are not health-functional foods, dietary supplements, or medicines, and no statement on the site claims any therapeutic, functional, disease-prevention, weight-loss, or other health benefit.
• Nothing on the site is medical, nutritional, dietary, or health advice, and it should not be relied on as such.
• Product availability, formulation, ingredients, labelling, and regulatory or registration status vary by country and are determined by the independent local partner for each market. The allergen and ingredient information on the actual product packaging in your market governs in all cases. We make no representation that any product is registered, compliant, or approved for sale in any particular market.
• Any forward-looking statements about markets, partners, products, or plans are aspirational and are not promises, representations, or guarantees.

7. Third-party links and partner references

The site may contain links to third-party websites and resources, including our partners' public social media profiles (such as Instagram and YouTube). We provide these links for convenience only; we do not control, endorse, or assume responsibility for any third-party site, its content, or its terms or privacy practices. Your use of any third-party site is at your own risk and subject to that site's own terms. Outbound links to partner profiles include neutral attribution parameters (such as utm_source, utm_medium, and utm_campaign) so a partner can see that a visit was referred from this site; these parameters do not identify you.

In addition:

• References to partners and to their public content are for identification and illustration only, may change or be removed at any time, and do not imply that any partner endorses, has tested, or makes any health or other representation about the products.
• We are not responsible for the statements, claims, availability, or conduct of independent local partners, who act under their own terms and on their own account.
• Featuring a partner — including any clinic, practitioner, or healthcare-affiliated partner — is not, and must not be read as, a clinical endorsement, recommendation, testing, or medical claim about any product, and creates no representation by us as to any product's health effects, safety, suitability, or regulatory or registration status in any market. Any medical, clinical, or professional affiliation of a partner is theirs alone, and is subject to the no-advice and no-health-claim statements in Section 6.

8. Disclaimer of warranties

To the maximum extent permitted by applicable law, the site and all of its content are provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory. We disclaim all such warranties, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, completeness, title, and non-infringement, and any warranty that the site will be uninterrupted, timely, secure, or error-free, or that defects will be corrected. Nothing in this clause excludes any warranty or right that cannot lawfully be excluded.

These Terms govern your use of the website only. They do not limit, exclude, or affect any right or remedy you may have in respect of actual products under applicable product-liability, food-safety, or consumer-protection law (including the Republic of Korea's Product Liability Act (제조물 책임법)); any such right lies against the manufacturer or the seller in your market and not against this informational website.

9. Limitation of liability

To the maximum extent permitted by applicable law, and subject to the exclusions below:

• we will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity, arising out of or relating to your use of (or inability to use) the site, whether based in contract, tort, statute, or otherwise, even if we have been advised of the possibility of such damages; and
• our total aggregate liability for all claims arising out of or relating to the site and these Terms, on any theory (contract, tort, statute, or otherwise), will not exceed one million Korean won (KRW 1,000,000).

The exclusions and cap above do not apply to, and nothing in these Terms limits or excludes, our liability arising from our intentional misconduct or gross negligence, our liability for death or personal injury caused by our negligence, our liability for fraud or fraudulent misrepresentation, any liability under the Republic of Korea's Product Liability Act, any statutory or punitive compensation, remedy, or regulatory or administrative measure under the Republic of Korea's Personal Information Protection Act (including its Articles 39 and 39-2) or other applicable data-protection law to the extent it may not lawfully be limited, or any other liability that may not lawfully be excluded or limited (including under the Republic of Korea's Act on the Regulation of Terms and Conditions). These limitations do not affect any rights you have under mandatory provisions of applicable law that cannot be excluded or limited, including the laws of the Republic of Korea and the law of your country of residence.

If any limitation, exclusion, or cap in this clause (including the KRW 1,000,000 figure) is held invalid, unreasonable, or unenforceable, it will be reduced or modified to the minimum extent necessary to make it valid and enforceable, and the remainder of this clause will continue in full force.

10. Indemnification

To the maximum extent permitted by applicable law, you agree to indemnify and hold harmless Peptide Cake and its officers, employees, and agents from and against any third-party claims, and any resulting liabilities, losses, damages, costs, and expenses (including reasonable legal fees), arising from your breach of these Terms, your misuse of the site, your violation of any law or third-party right, or any submission you make that is unlawful, infringing, or in breach of Section 3, in each case to the extent caused by your own wrongful or negligent act or omission. In the case of a consumer, this indemnity applies only to loss arising from your unlawful use of the site, your infringement of a third party's rights, or your breach of Section 3 or Section 4. This clause applies to the fullest extent the Act on the Regulation of Terms and Conditions and other applicable law permit, and does not require you to indemnify us for any liability to the extent it cannot lawfully be passed to you.

11. Changes to the site and to these Terms

We may modify, suspend, or discontinue the site or any part of it at any time without notice. We may also revise these Terms from time to time. Any change to these Terms is shown by an updated "Last updated" date above, applies prospectively only, and will not apply retroactively to matters arising before it took effect. We will not apply any changed term to an enquiry you have already submitted; that enquiry remains governed by the version of these Terms in force when you submitted it.

• For non-material or clarifying changes, the revised Terms take effect when posted with the updated "Last updated" date and apply to your access to and use of the site from that point.
• For material changes that adversely affect you, we will give reasonable advance notice and reasonable prominence to the change (for example, by a notice on the site) together with its effective date; such changes apply to you only on your next access to the site or your next enquiry after the notice takes effect.

We will keep prior versions of these Terms reasonably available on request so you can identify the version that governed your enquiry. If you do not agree to a change, your remedy is to stop using the site. Nothing in this clause overrides any mandatory consumer-protection law that applies to you.

12. General

• Governing law. These Terms and any dispute or claim arising out of or in connection with them or the site (including non-contractual disputes) are governed by the laws of the Republic of Korea.
• Jurisdiction. The courts of Seoul, Republic of Korea, with the Seoul Central District Court as the court of first instance, have jurisdiction (and, as between non-consumer parties, exclusive jurisdiction), except that (i) this does not deprive a consumer of the protection of mandatory provisions of the law of their country of residence, including any non-waivable right to bring or defend proceedings in the courts of that country and, for a consumer resident in the Republic of Korea, any non-waivable right to sue or be sued in the court of their domicile; and (ii) nothing in this clause overrides any mandatory venue rule under the Act on the Regulation of Terms and Conditions.
• Severability. If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force, and the invalid provision will be applied to the maximum extent permitted by law.
• No waiver. Our failure to enforce any provision is not a waiver of it.
• Assignment. We may assign or transfer these Terms and our rights and obligations, in whole or in part, including in connection with our incorporation, reorganisation, or transfer of business. Any assignment by us will not reduce your rights under these Terms or our Privacy Policy or under applicable data-protection law. You may not assign or transfer these Terms without our prior written consent.
• Force majeure. We are not liable for any failure or delay caused by events beyond our reasonable control.
• Entire agreement. These Terms, which incorporate the Privacy Policy, constitute the entire agreement between you and us regarding the site and supersede any prior understandings on that subject, except that this clause does not exclude liability for any statement made fraudulently or negligently where such exclusion is not permitted by law, and does not override the version-survival rule in Section 11. Nothing in this clause excludes or limits any liability or right that cannot be excluded under mandatory applicable law.
• Headings. Headings are for convenience only and do not affect interpretation.
• Governing language. These Terms are written in English, which is the sole authoritative and legally binding language. Any translation is provided for convenience only; in the event of any conflict, the English version prevails. Nothing in this clause limits any mandatory requirement under Korean or other applicable law to provide a particular disclosure or notice in a local language; where such a requirement applies, we will provide that disclosure or notice as required.
